International media corporation FremantleMedia acquires Miso Film
Bech-Bruun assisted FremantleMedia in its six-month acquisition process resulting in FremantleMedia acquiring a majority stake in Miso Film and call options for the remaining share capital.
Miso Film is a pre-eminent Danish scripted production company developing and producing Danish and Scandinavian prime-time TV films and series. Productions include the feature-length thriller "The Candidate" and the TV series "Those who kill" and "Dicte"s. Miso Film is currently producing the Danish Broadcasting Corporation’s latest large-scale investment “1864”, which is the largest production in Denmark to date and which will be produced as a TV series as well as a feature film.
FremantleMedia develops, produces and distributes global TV entertainment programmes, including "X Factor" and "The Price is Right". FremantleMedia is part of the RTL Group, which is part of the Bertelsmann Group with presence in around 50 countries and engaging primarily in TV production, magazine, newspaper and book publishing, and services.
Bech-Bruun advised on all parts of the acquisition process, including negotiation of the share purchase agreement, due diligence, negotiation of the shareholders agreement including put and call options, media law, including public subsidisation, competition law and employment law.
