Amendment of the Danish Companies Act
The Danish Companies Act has now been in operation for two years, and, as already announced at the commencement of the Act on 1 March 2010, the Act is to be evaluated after its first two years of operation.
Running to 280 pages, the comprehensive bill proposes several technical changes and language-related clarifications, but also a few substantive amendments, for instance:
- Reduction of the capital requirement for private limited companies to DKK 50,000.
- The possibility of establishing an “entrepreneurial company” (a private limited company (ApS) without a minimum capital)
- Rules governing cross-border transfer of registered office
The consultation period ends on 25 January, and the final bill is expected to be tabled at the end of February.
