Challenges and requirements

Stock exchange regulation is increasingly based on EU directives and regulations. Moreover, there is a growing focus on corporate governance principles and recommendations. Finally, the stock exchange regulation of compliance matters - among other, compliance with disclosure requirements - and the rules governing securities offerings are becoming more and more technical. Our clients seek, therefore, specialised advice concerning the interpretation of, and compliance with, stock exchange regulations.

How we can help

We have an extremely high level of specialisation with respect to stock exchange and capital market matters. This is the case as regards stock exchange compliance rules, securities offerings and the takeover of stock exchange listed companies. By virtue of our concept of specialisation, we can service our clients effectively, flexibly and at a high level. We offer both standard products and specially tailored solutions.

Our client portfolio encompasses large and small cap companies which are listed on NASDAQ OMX and First North. In addition, we advise Danish and international investment banks in connection with stock exchange transactions.

Our advice encompasses, among others:
  • Securities offerings, including stock exchange listings, private placements and secondary offers

Bech-Bruun still attracts big-ticket deals, but it lost two key players: Peter Lyck to Hannes Snellman Attorneys at Law Ltd and Jørgen Reimer Jensen to Nordia Advokatfirma. On the equity side, Regina Andersen and Steen Jensen advised Australian Ontario Teachers Pension Plan Board on its proposed acquisition of a non-controlling interest in Copenhagen Airports. On the debt side, Jensen negotiated a DKK13.5bn guarantee for Amagerbanken under Bank Package II and the subsequent issuance of DKK13.5bn three-year notes.
