Commercial and Contract Law

Challenges and requirements

The rapid internationalisation of the Danish business sector has resulted in more contracts being entered into between parties of different nationalities. Such contracts are, moreover, increasingly entered into electronically. In order to prevent disputes, the contracts which are entered into must, therefore, be of the highest standard. This is the case as regards their adjustment to international practice and ensuring their compliance with applicable mandatory provisions.

How we can help

We have long-standing experience in international contract negotiations and the adjustment of foreign contracts to Danish circumstances. We have, in addition, substantial experience in drafting standard terms and conditions for Danish clients, which can easily be adjusted to local markets and employed readily in many jurisdictions.

As a result of our participation in the EU's initiative to establish a common frame of reference for European contract law, we are constantly up to date with the latest international trends in this area.

We advise a number of market leading Danish and foreign companies, as well as small and medium sized companies with respect to the drafting of standard documents and individual negotiations.

Our advice encompasses, among others:
  • The purchase and sale of goods and services
  • International Trade Law
  • Protection of seller's right of ownership, until the purchase price has been paid

  • Interpretation of contracts
  • Drafting of contracts
  • Buyer's claim due to defects
